This giveaway does not entitle you to any rights, benefits, services, or consideration other than those expressly described in these Official Rules. Without limiting the foregoing, participation or winning does not entitle you to: (a) employment, partnership, endorsement, or any ongoing business relationship with HerdBook; (b) any guarantee of livestock availability, quality, value, health, or fitness; (c) any reimbursement of costs or fees (including auction/sale fees, buyer’s premiums, transport, veterinary, taxes, permits, or payment processing charges); (d) any right to use HerdBook’s trademarks or intellectual property; (e) any discounts, credits, perks, or future benefits beyond the prize as stated; or (f) any modification of third-party policies, schedules, or terms (e.g., sale rules, transporter requirements, veterinary policies).

1. ELIGIBILITY

This giveaway is open to legal residents of the United States who are 18 years of age or older at the time of entry. Employees, officers, and directors of HerdBook, its parent companies, affiliates, subsidiaries, advertising and promotion agencies, and their immediate family members (spouse, parents, children, and siblings and their spouses) and household members of each are not eligible to participate or win.

This giveaway is void where prohibited by law. By entering, participants agree to be bound by these Official Rules and the decisions of HerdBook, which are final and binding in all respects.

2. GIVEAWAY PERIOD

The giveaway period (the “Giveaway Period”) will be determined by HerdBook at its sole discretion. The official start and end dates will be posted on the giveaway page at https://herd-book.com/giveaway. HerdBook may extend, shorten, or modify the Giveaway Period at any time with or without notice. Entries submitted before or after the Giveaway Period will not be eligible.

3. HOW TO ENTER

During the Giveaway Period, eligible participants may enter via the official giveaway page at https://herd-book.com/giveaway by completing one or more of the following actions:

• Like & Share Facebook Post (1 entry)

• Like & Share Instagram Post (1 entry)

• Join Newsletter (1 entry)

• Start Free HerdBook Trial (10 entries)

• Refer a Friend to HerdBook (5 entries per successful referral)

Limit of one (1) entry per action per person. Referral entries are unlimited provided each referral is unique. All entries must be received during the Giveaway Period.

Use of automated entry systems, bots, or other fraudulent methods is prohibited and will result in disqualification. All entries become the property of HerdBook and will not be returned or acknowledged.

4. PRIZE

One (1) Grand Prize Winner will receive:

• $250 credit toward livestock purchase at a goat sale of winner’s choice; and

• One (1) year free subscription to HerdBook.

Prize Details and Restrictions:

• The $250 livestock credit must be used toward a purchase at an eligible goat sale. HerdBook will issue payment directly to the sale organization or seller upon verification of purchase.

• The livestock credit cannot be redeemed for cash and has no cash value.

• The credit must be used within 12 months of prize award date or it will be forfeited.

• Winner is solely responsible for all costs not expressly provided as part of the prize, including, without limitation: sales/use taxes; buyer’s premiums; auction/sale fees; registration/transfer/brand inspection fees; veterinary exams/tests/certificates (e.g., Coggins/health certificates); permits; insurance; transportation/hauling/boarding; payment processing, wire, or currency-conversion fees; and any other third-party charges associated with livestock purchase or ownership.

• The one-year HerdBook subscription will begin upon winner notification and account setup (see Section 14 for Acceptable Use & Early Termination).

• Prize is non-transferable; no substitution or cash equivalent will be provided, except at HerdBook’s sole discretion. HerdBook may substitute a prize of equal or greater value or comparable utility if the advertised prize becomes unavailable.

5. WINNER SELECTION AND NOTIFICATION

One (1) potential Grand Prize Winner will be selected in a random drawing from all eligible entries received during the Giveaway Period. The drawing will be conducted within a reasonable time after the conclusion of the Giveaway Period by HerdBook or its designee, whose decisions are final and binding. The approximate drawing date will be posted on the giveaway page.

The potential winner will be notified by email and/or phone within five (5) business days of the drawing and must respond within seventy-two (72) hours or the prize may be forfeited and an alternate winner selected.

Before being declared the official winner, the potential winner may be required to sign and return an Affidavit of Eligibility, Liability Release, and (where legal) Publicity Release within seven (7) days. Failure to comply may result in disqualification and selection of an alternate.

If a potential winner is found ineligible, has not complied with these Rules, or declines the prize, such potential winner will be disqualified and an alternate may be selected.

6. GENERAL CONDITIONS

By entering, participants agree to release, discharge, and hold harmless HerdBook, its parent companies, affiliates, subsidiaries, and their respective officers, directors, employees, and agents from any and all liability, loss, injury, or damage of any kind arising from or in connection with this giveaway or the acceptance, use, or misuse of any prize awarded.

HerdBook is not responsible for: (i) lost, late, incomplete, invalid, unintelligible, illegible, misdirected, or postage-due entries; (ii) technical, hardware, software, or telephone malfunctions; lost or unavailable network connections; or failed/incorrect/incomplete/inaccurate/garbled/delayed electronic communications; (iii) injury or damage to a participant’s or any other person’s computer/device related to or resulting from participating; or (iv) any condition caused by events beyond HerdBook’s control that may cause the giveaway to be disrupted or corrupted.

HerdBook may cancel, modify, or suspend the giveaway if fraud, technical failures, or any other factor impairs its integrity or proper functioning. HerdBook may disqualify any individual found tampering with entry processes, operating the giveaway in violation of these Rules, or acting in an unsportsmanlike or disruptive manner.

7. PRIVACY AND DATA COLLECTION

Information collected is subject to HerdBook’s Privacy Policy available on our website. By entering, participants consent to the collection and use of their personal information as described therein. Emails collected through newsletter signups may be used for marketing communications; participants may unsubscribe at any time.

8. PUBLICITY RIGHTS

Except where prohibited, entry and acceptance of a prize constitute permission for HerdBook to use winner’s name, likeness, voice, biographical information, and prize information for advertising and promotional purposes in any media without further compensation or permission.

9. DISPUTE RESOLUTION AND GOVERNING LAW

Any disputes, claims, or causes of action arising out of or related to this giveaway shall be resolved individually, without resort to class action, and exclusively by the state or federal courts located in Wyoming. All issues concerning the construction, validity, interpretation, and enforceability of these Rules shall be governed by Wyoming law without regard to conflict-of-laws principles.

10. LIMITATION OF LIABILITY

BY ENTERING, PARTICIPANTS AGREE THAT HERDBOOK AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INJURIES, LOSSES, OR DAMAGES OF ANY KIND (INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE) ARISING FROM PARTICIPATION OR FROM ACCEPTANCE, USE, OR MISUSE OF ANY PRIZE.

HerdBook makes no warranties, express or implied, regarding any prize, including quality, condition, merchantability, or fitness for a particular purpose.

11. LIVESTOCK DISCLAIMER

HerdBook is providing a credit toward livestock purchase only and is not selling, breeding, or providing livestock. Winner assumes all responsibility for selection, health and welfare, veterinary care/expenses, compliance with all applicable laws/regulations, transportation/housing, and any injury or damage caused by livestock. HerdBook makes no warranties as to health, quality, temperament, suitability, or value of any livestock purchased with the credit. Winner should conduct appropriate due diligence.

12. WINNER’S LIST

For the name of the winner, send a self-addressed, stamped envelope to: “HerdBook Giveaway Winner.” Winner information will be available within 30 days after the drawing date. Requests must be received within 60 days of the drawing date.

14. PROMOTIONAL SUBSCRIPTION — ACCEPTABLE USE & EARLY TERMINATION

The one-year promotional HerdBook subscription is subject to HerdBook’s standard Terms of Service and Acceptable Use Policy. HerdBook may suspend or terminate the promotional subscription at any time, without notice, if—in its sole discretion—winner violates these Rules, the Terms of Service, or engages in prohibited conduct. Prohibited conduct includes, without limitation:

1. Illegal activity or use to plan, commit, or facilitate unlawful acts.

2. Misuse/abuse of the platform, including using HerdBook as a general file storage server or data-hosting service unrelated to ranch/livestock operations.

3. Use for purposes not intended by HerdBook (the service is intended solely to support lawful ranch and livestock operations and their personnel).

4. Interference with or degradation of platform performance; introducing malware; circumventing security; scraping; or automated access beyond permitted API/feature limits.

5. Infringing, harassing, or harmful content; privacy violations; doxxing; or spam.

6. Sharing, sublicensing, reselling, or otherwise providing account access to unaffiliated third parties; or misrepresenting identity or affiliation.

7. Reverse engineering, copying, or creating derivative works of the service except as permitted by law.

Upon termination for cause, access to the promotional subscription may cease immediately, and HerdBook has no obligation to reinstate or extend the promotional period. This remedy is in addition to any other rights or remedies available to HerdBook.

15. THIRD-PARTY POLICIES, COSTS & RESPONSIBILITIES

The prize may involve independent third parties (e.g., sale organizers, breeders/sellers, transporters, veterinarians, payment processors). HerdBook is not responsible for third-party acts/omissions, availability, schedules, pricing, eligibility requirements, or policy changes. Winner must comply with all third-party terms and is solely responsible for all fees and costs imposed by third parties (including buyer’s premiums, registration/transfer fees, vet costs, transport/boarding, permits, certificates, payment processing fees, and taxes), whether expected or unforeseen.

16. FORCE MAJEURE; SEVERABILITY; WAIVER; ASSIGNMENT; ENTIRE AGREEMENT

HerdBook is not liable for delay or failure due to events beyond its reasonable control (including acts of God, labor disputes, epidemics, government actions, or network/platform outages). If any provision of these Rules is found invalid or unenforceable, the remaining provisions remain in full force. Failure to enforce a provision is not a waiver. Participant may not assign any rights; HerdBook may assign as permitted by law. These Rules constitute the entire agreement regarding the giveaway and supersede prior communications on this subject.
